Excite Business (“Excite”, “we”, “us”, or “our”) operates a distribution management platform that connects businesses, distributors, super-agents, sub-agents, and retailers to manage orders, inventory, payments, and reporting. These Terms form a binding agreement between you and Excite. If you do not agree to these Terms, do not use the platform.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. When you register, you agree to provide accurate, current, and complete information and to keep it up to date.

The platform supports multiple account roles, including business, distributor, super-agent, sub-agent, and retailer accounts. Each role has access to features appropriate to that role. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us promptly of any unauthorized access or use of your account.

You may use the platform only for lawful business purposes related to distribution management, including managing orders, inventory, bookkeeping, agent networks, and sales performance reporting. You agree to use the platform in compliance with all applicable laws and these Terms.

Orders placed through the platform are subject to acceptance by the relevant business, distributor, or agent. Wallet balances, transactions, and rewards displayed on the platform reflect records maintained within Excite and are provided for your convenience.

• You are responsible for verifying the accuracy of orders, payments, and wallet transactions before confirming them.
• Excite is not a bank and does not guarantee the availability of any third-party payment processor or financial institution used to facilitate transactions.
• Fees, if any, applicable to transactions will be disclosed to you within the platform prior to confirmation.

Inventory levels, product recalls, and distribution records reflected on the platform are based on data entered by you and other participants in your distribution chain. Excite is not responsible for inaccuracies arising from data entered by users. Product recall notices issued through the platform must be acted upon promptly by all affected parties.

The platform, including its design, software, logos, and content, is owned by Excite or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform except as expressly permitted by these Terms or applicable law.

You agree not to:

• Provide false or misleading information about your business.
• Use the platform to engage in fraud, money laundering, or any unlawful activity.
• Interfere with, disrupt, or attempt to gain unauthorized access to the platform or other users' accounts.
• Upload malicious code or attempt to reverse-engineer the platform.
• Misuse the platform to circumvent legitimate distribution or payment relationships.

We may suspend or terminate your access to the platform if you violate these Terms, engage in fraudulent or unlawful activity, or if required to do so by law. You may close your account at any time by contacting us. Certain obligations, such as outstanding payments, survive termination.

The platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. To the fullest extent permitted by law, Excite shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or business arising from your use of the platform.

You agree to indemnify and hold Excite harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts.

We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date above. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
